Terms of Use
Last updated: April 4, 2026. These Terms of Use govern your access to and use of Hespr, including hespr.com, the Hespr mobile applications, and all related features, content, tools, notifications, and services provided by Hespr Social Inc. By creating an account, accessing, or using the Service, you agree to these Terms of Use, as well as any other policies made available through the Service, including our Privacy Policy and Community Guidelines. If you do not agree, do not use the Service.
1. What Hespr Is
Hespr is a venue-based social discovery service. Depending on the features available in your region or version of the Service, users may be able to create a profile, become visible at eligible public venues, see other users who are visible at the same venue, send waves or similar signals of interest, mutually connect, suggest or set a meet spot, indicate future attendance at venues or events, discover venues and events, upload profile photos including recent or live photos, receive notifications, and use related paid, mobile, and web-based features, including features that may expand how venue visibility or attendance information is viewed within the Service.
Hespr is designed around venue-level social discovery at public places. It is not intended for private residential location sharing, precise person tracking, emergency response, or guaranteed identity verification.
2. Eligibility
By using the Service, you represent and warrant that you meet these requirements.
- You are at least 18 years old.
- You are legally capable of entering into a binding agreement.
- You are not prohibited by law from using the Service.
- You have not previously been suspended or removed from the Service for serious or repeated violations, unless we expressly allow you to return.
- You will use the Service only for lawful, personal, and intended purposes.
3. Account Registration and Security
You must provide accurate, current, and complete information when creating and maintaining your account. You may not create an account using false information, impersonate another person or organization, or misrepresent your age, identity, appearance, or presence.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify us if you believe your account has been accessed without authorization or otherwise compromised.
You may not sell, transfer, share, or loan your account to anyone else.
We may require phone verification, email verification, device verification, photo verification, or other trust and safety steps at any time. These steps may reduce risk, but they do not guarantee that any user is authentic, truthful, safe, or currently present where they appear to be.
4. Public Venue Visibility and Location Features
The Service may allow you to become visible at an eligible public venue. When you do so, other users may be able to see that your profile is associated with that venue for a period of time.
You may use Hespr visibility features only in connection with eligible public venues. You may not use the Service to expose, identify, or promote your presence at a private residence, private apartment unit, private hotel room, dorm room, private office, staff-only area, or other non-public or semi-private location, even if such a place is incorrectly labeled by a map or third-party data source.
We may determine venue eligibility using map data, geofences, device location, user submissions, venue records, trust and safety rules, and other signals. We may block, remove, reclassify, or limit any venue or category of venue at any time for safety, legal, operational, or product reasons.
Location and venue assignment are not perfect. The Service may rely on device signals, network conditions, venue boundary data, mapping systems, operating system permissions, and other inputs that can be incomplete, inaccurate, delayed, or unavailable.
- A user may appear at the wrong venue.
- A user may remain visible after leaving a venue.
- A user may stop appearing even while still present.
- A user may appear present when they are not.
- Venue boundaries may be inaccurate.
- Meet spots may be approximate or unavailable.
- Future attendance signals may not reflect actual attendance.
- Notifications, waves, matches, and other signals may be delayed, fail, or arrive out of order.
5. Your Responsibilities When Using Visibility Features
If you choose to become visible, you understand that other users may infer that you are at, near, or associated with a particular public venue. You should use care in deciding when to become visible, whom to interact with, and whether to meet anyone in person.
A mutual wave, connection, or meet-spot setup is only a user convenience feature. It does not create any obligation for either person to meet, respond, remain present, or continue interacting.
- Manually end visibility when you leave a venue, if that feature is available.
- Avoid using visibility features in a way that exposes sensitive personal information.
- Use blocking, reporting, and privacy tools where appropriate.
- Comply with venue rules, staff instructions, and applicable law.
- Leave any interaction or venue if you feel unsafe.
6. Safety and In-Person Interactions
Hespr helps users discover each other in real-world public settings, but Hespr does not screen, endorse, supervise, or guarantee any user, venue, event, or in-person interaction.
If you choose to meet another user, you do so voluntarily and at your own discretion and risk. You are solely responsible for your decisions, interactions, and conduct before, during, and after any in-person meeting.
Use common sense. Meet in public. Stay aware of your surroundings. Do not assume another user is safe, truthful, or appropriate to meet simply because they use the Service, uploaded a recent photo, passed a verification step, connected with you, or appeared at the same venue.
If you are in immediate danger or experiencing an emergency, contact emergency services, venue staff, or local authorities, not Hespr.
- Hespr is not a background-check service.
- Hespr is not a guarantee of identity, age, or intent.
- Hespr is not a guarantee that a person is where they appear to be.
- Hespr is not an emergency response service.
- Hespr is not a guarantor of user behavior.
- Hespr is not the organizer, sponsor, controller, or insurer of your in-person interactions.
7. Profiles, Photos, and User Content
"User Content" means any content you upload, submit, transmit, create, or make available through the Service, including profile details, usernames, bios, photos, attendance signals, venue suggestions, event submissions, messages, reports, and feedback.
You retain ownership of your User Content, but you are solely responsible for it and for ensuring that you have all rights necessary to provide it.
You represent and warrant that your User Content is accurate to the extent it is presented as factual, truthfully represents you where identity or appearance is relevant, does not impersonate another person, does not violate any law or any person’s rights, does not infringe intellectual property, privacy, publicity, or contractual rights, does not contain unlawful, threatening, defamatory, harassing, hateful, exploitative, or sexually abusive material, does not include another person’s image or personal information without appropriate permission where required, does not contain malware, malicious code, or harmful instructions, and is not used to facilitate fraud, stalking, extortion, trafficking, commercial solicitation, or other abusive conduct.
8. Recent or Live Photo Rules
If Hespr requires or allows a recent or live photo for trust, visibility, access, or profile purposes, that photo must truthfully depict you and your current appearance within the applicable time window.
A recent or live photo requirement may improve trust, but it does not guarantee authenticity, safety, identity, or current presence.
- A photo of someone else.
- An old photo outside the allowed time window.
- A screenshot, replay, or other workaround intended to defeat the requirement.
- Heavily misleading editing intended to misrepresent your identity or appearance.
- Synthetic, AI-generated, or manipulated content intended to deceive other users about who you are or how recently the photo was taken.
9. License to User Content
By submitting or making User Content available through the Service, you grant Hespr a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, format, transmit, display, perform, distribute, and otherwise use that User Content as reasonably necessary to operate and provide the Service, support features you use, maintain trust and safety, review reports and investigate abuse, fraud, or legal issues, improve and develop the Service, enforce these Terms and related policies, and comply with legal obligations.
This license continues for as long as your User Content is stored or used for these purposes. If you remove User Content or delete your account, we will stop displaying that content in the ordinary course of the live Service within a reasonable time, but we may retain copies as reasonably necessary for backups, fraud prevention, legal compliance, dispute resolution, safety investigations, moderation records, and business records.
10. Prohibited Conduct
- Harass, threaten, intimidate, stalk, exploit, dox, extort, or discriminate against any person.
- Use the Service to watch for, wait for, follow, ambush, pressure, or track another person outside the intended social context of the Service.
- Continue contacting or attempting to contact a person after they have blocked you, declined your interaction, or clearly indicated disinterest.
- Create a fake account, impersonate another person, or misrepresent your age, identity, relationship status, intentions, or appearance.
- Spoof your location, use mock-location tools, emulator tools, device manipulation, or any other method to fake presence or check-ins.
- Circumvent a block, suspension, ban, feature restriction, or trust and safety control.
- Use bots, scripts, crawlers, scrapers, automation, or bulk actions to access the Service or harvest data.
- Scrape, capture, compile, export, or build datasets from user profiles, venue rosters, attendance indicators, or other Service data.
- Send spam, repeated unwanted waves, mass outreach, commercial promotion, recruiting messages, escort solicitations, or other unauthorized solicitations.
- Create fake venues, fake events, false attendance signals, or misleading venue or event information.
- Post or transmit unlawful, infringing, hateful, sexually exploitative, or non-consensual content.
- Interfere with or disrupt the operation, security, or integrity of the Service.
- Reverse engineer, decompile, or otherwise attempt to extract source code or underlying models, except to the extent such restriction is prohibited by law.
- Use the Service in a way that could harm Hespr, its users, venues, service providers, or the public.
11. Venue, Event, and Attendance Information
The Service may display venue names, categories, map placements, attendance signals, event information, venue edits, or other information provided by Hespr, users, venues, partners, or third parties.
Hespr does not guarantee that any venue, event, or attendance information is accurate, complete, current, available, lawful, safe, public, or endorsed by the venue or organizer. A venue may be closed, crowded, private, reclassified, age-restricted, inaccurately mapped, or otherwise not suitable for the use you expect. An event may change, be canceled, be misdescribed, or not occur at all. A user who indicates future attendance may never appear. A visible user may already have left.
You are responsible for verifying material details for yourself before relying on them. If you submit venue, event, or attendance information, you must do so honestly and accurately to the best of your knowledge.
Paid features may affect how certain venue visibility, attendance, or discovery information is presented within the Service, but they do not guarantee accuracy, real-time presence, user availability, or user intent.
12. Blocking, Reporting, and Moderation
Hespr may provide tools that allow you to block, mute, hide, or report users, content, venues, events, or conduct.
These tools are important but have limits. For example, another user may already have seen your profile or venue presence before you block them, blocking does not guarantee that a person cannot identify you offline, reports may not always be resolved immediately, we may not be able to verify every report conclusively, and not every harmful act can be detected or prevented by the Service.
We may review reports, content, device or account signals, metadata, behavioral signals, payment signals, and other information to investigate abuse, fraud, safety issues, and legal compliance. We may remove content, limit visibility, disable features, require verification, issue warnings, suspend accounts, or permanently ban accounts where reasonably necessary to protect users, the Service, or Hespr.
We may preserve evidence and records relating to reports, moderation decisions, billing disputes, abuse investigations, fraud prevention, and legal compliance, including after content or an account is removed.
13. Paid Features, Subscriptions, Billing, and Refunds
Hespr may offer optional paid features, including subscriptions, premium access, boosts, or one-time purchases.
If you purchase a paid feature, you agree to pay the price and any disclosed taxes or charges presented at the time of purchase. Unless expressly stated otherwise, subscriptions renew automatically for the same billing period until canceled.
You are responsible for reviewing the pricing, billing period, renewal terms, and cancellation method before purchasing.
If you purchased through a third-party app store or platform, your billing relationship may also be subject to that platform’s terms, policies, and payment processes. Hespr is not responsible for the billing practices of third-party app stores or payment providers.
Unless required by applicable law, expressly stated by Hespr at the time of purchase, or required by the platform through which you purchased, all payments are non-refundable once charged. Deleting the app, deleting your account, removing a payment method, or stopping use of the Service does not by itself cancel a subscription unless the applicable cancellation process has been completed.
We may change pricing, packaging, feature availability, or subscription offerings from time to time. If required by law, we will provide notice before a material change takes effect.
If a payment fails, we may suspend or terminate access to the relevant paid feature. If you initiate a chargeback or payment dispute in bad faith, we may suspend or terminate your access to the Service or paid features while the matter is being reviewed.
14. Third-Party Services and Platforms
The Service may rely on or interact with third-party services, including map providers, geolocation services, hosting providers, analytics tools, notification systems, payment processors, app stores, mobile operating systems, and venue or event data providers.
Hespr is not responsible for third-party services, their content, their accuracy, their uptime, their billing practices, their security, or their separate terms and privacy practices.
If you access the Service through a mobile app store, you acknowledge that the relevant app store provider is not responsible for the Service itself and has no obligation to furnish maintenance, support, or claims handling for the Service except as required by applicable law.
15. Intellectual Property
The Service, including all software, interfaces, text, graphics, logos, designs, compilations, trademarks, service marks, and other content other than User Content, is owned by or licensed to Hespr Social Inc. and is protected by intellectual property and other laws.
Subject to these Terms, Hespr grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, lawful use.
You may not copy, reproduce, modify, distribute, sell, lease, license, exploit, or create derivative works from the Service except as expressly permitted by Hespr or by applicable law.
16. Feedback
If you send Hespr feedback, suggestions, ideas, or improvement proposals, you agree that Hespr may use them without restriction, attribution, or compensation to you, and without any obligation to keep them confidential, unless Hespr expressly agrees otherwise in writing.
17. Suspension and Termination
You may stop using the Service at any time.
We may restrict, suspend, disable, or terminate your account or access to some or all of the Service, with or without notice where reasonably necessary, if we believe you violated these Terms or any related policy, your conduct creates safety, fraud, legal, platform, or reputational risk, your account is deceptive, fake, compromised, or abusive, you misused location, venue, or attendance features, you are evading a previous enforcement action, your use of the Service may harm Hespr, its users, venues, or the public, or we are required or reasonably justified in doing so by law, court order, platform rule, or operational necessity.
Where appropriate, we may provide an explanation for an enforcement action, but we are not required to disclose information that could compromise safety, privacy, investigations, fraud prevention, or legal compliance.
18. Account Deletion and Data Retention
If you delete your account, we will take reasonable steps to remove your profile from the live Service within a reasonable processing period. Deletion of an account does not guarantee immediate or complete deletion of all related information from backups, logs, moderation records, or legal and business records.
Our collection, use, storage, and disclosure of personal information are described in the Privacy Policy available through hespr.com and the Service.
- Comply with law.
- Respond to legal requests.
- Preserve evidence.
- Prevent fraud and abuse.
- Enforce these Terms.
- Resolve disputes.
- Complete financial records.
- Maintain security.
- Keep records related to reports, moderation, payments, or safety incidents.
19. Privacy and Communications
By using the Service, you acknowledge that Hespr may collect, use, store, and disclose information as described in its Privacy Policy.
You agree that Hespr may send you service-related communications, including security alerts, account notices, transactional emails, billing notices, push notifications, and other messages necessary or useful to operate the Service and your account. You may be able to control some communications through your device or account settings, but Hespr may still send communications required for legal, security, or operational reasons.
20. Disclaimers
To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, Hespr disclaims all warranties, express, implied, statutory, and otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment.
Nothing in these Terms excludes rights that cannot be waived under applicable law.
- The Service will be uninterrupted, secure, timely, or error-free.
- Any user is truthful, authentic, safe, or actually present where shown.
- Any venue or event information is accurate or current.
- Any attendance signal, wave, match, notification, or meet spot will be delivered, displayed, or function correctly.
- Any recent or live photo requirement will successfully prevent deception.
- Blocking, reporting, or moderation will prevent all harm.
- The Service will meet your expectations or remain available in any particular form.
21. Limitation of Liability
To the fullest extent permitted by law, Hespr Social Inc. and its affiliates, directors, officers, employees, contractors, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, opportunities, or anticipated savings, arising out of or related to the Service or these Terms.
To the fullest extent permitted by law, the total aggregate liability of Hespr Social Inc. and its affiliates, directors, officers, employees, contractors, licensors, service providers, and agents for all claims arising out of or related to the Service or these Terms will not exceed the greater of the total amount you paid directly to Hespr for the Service in the 12 months before the event giving rise to the claim, or one hundred Canadian dollars.
These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by law.
22. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Hespr Social Inc. and its affiliates, directors, officers, employees, contractors, licensors, service providers, and agents from and against any claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to your User Content, your use of the Service, your in-person interactions with other users, venues, or third parties, your violation of these Terms or any applicable law, or your infringement or violation of the rights of any person or entity.
This section does not require you to indemnify Hespr for claims to the extent caused by Hespr’s own conduct where such indemnity is prohibited by applicable law.
23. Governing Law and Disputes
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict of laws principles.
You and Hespr Social Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in British Columbia, Canada, and you consent to the personal jurisdiction and venue of those courts.
24. Changes to the Service and These Terms
We may modify, suspend, discontinue, or update any part of the Service at any time.
We may also update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as through the app, the website, email, or another communication channel associated with your account.
By continuing to use the Service after updated Terms take effect, you agree to the updated Terms. If you do not agree, you must stop using the Service and cancel any subscription through the applicable cancellation method.
25. General Terms
These Terms, together with the Privacy Policy, Community Guidelines, and any additional terms expressly incorporated by reference, form the entire agreement between you and Hespr regarding the Service and supersede any prior or contemporaneous understandings on that subject.
If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver of our right to do so later.
You may not assign, transfer, or delegate these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or operation of the Service.
